About the job VENTURE CAPITAL & EMERGING COMPANIES ASSOCIATE ATTORNEY We are seeking candidates with:
- Experience leading venture finance transactions, M&A, and corporate governance matters
- Familiarity with startup/financing documents, including convertible notes, SAFEs, priced equity rounds, NVCA model documents, SAFTs, and Token offerings
- Strong transactional experience, including drafting commercial agreements, negotiating with opposing counsel, and leading teams on diligence and closing transactions.
Requirements:
- Minimum of four years of venture capital industry experience
- Ability to lead deal teams and transactions from inception through closing
- Excellent written and verbal communication skills
- Strong client-facing skills and ability to work independently
- Team player with the ability to work with multidisciplinary teams and collaborate across the Firms capabilities and practice areas
- Advanced knowledge of Excel (cap table, exit waterfall, and financial modeling tools)
- Bar membership in good standing in the jurisdiction in which you plan to practice
