Become part of an inclusive organization with over 40,000 diverse employees, whose mission is to improve the health and well-being of the unique communities we serve.Summary:The VP & Senior Counsel, Corporate Development works with the Chief Legal Officer and the UNC Health Legal Department team to support UNC Health's corporate development function, with a focus on providing expert legal guidance and support for strategic combinations and partnerships, acquisitions, joint ventures, and strategic investments. The person in this position will collaborate with UNC Health attorneys, outside counsel, financial advisors, and consultants who are supporting transactions involving UNC Health owned entities and affiliates. This position reports directly to the Chief Legal Officer and serves as a member of the UNC Health Legal, Risk Management, and Audit Services Department leadership team and will work as a key member of UNC Health's Corporate Development team. This position will be responsible to the Chief Legal Officer for providing legal and business advice, counsel, and representation to the following leaders and units:
  • Chief Strategy Officer;
  • Vice President for Corporate Development and the corporate development team;
  • Vice President for Financial Planning & Analysis and FP&A team members; and
  • Other leaders and units as assigned.
  • In addition, this position may provide administrative oversight to and partner with the department's regulatory affairs and facilities strategy professionals to integrate their expertise and guidance with legal and business advice to UNC Health's corporate development and relatedfunctions in areas such as certificate of need (CON), licensure, and regulatory affairs. Responsibilities:Legal Counsel: Collaborate with the Chief Legal Officer, UNC Health legal team members, the Corporate Development team, and others to:1. Provide legal support in mergers and acquisitions, partnership development, market and financial analysis, and strategic investments. Advise and provide legal support on strategic transactions, including negotiating and drafting non-disclosure agreements, drafting letters of intent, preparing contracts and agreements with advisors and financial consultants, and drafting various transaction documents and definitive agreements involving asset purchases, member substitutions, joint ventures, and operating agreements.2. Conduct, oversee, and coordinate due diligence on assigned transactions and deals and provide support to UNC Health attorneys who are advising on other transactions; analyze due diligence reports and findings to evaluate and assess legal risks and develop strategies to mitigate identified risks.3. Collaborate with UNC Health teammates, outside counsel, and other experts in the review and evaluation of significant matters involving transactions, including regulatory and compliance issues; tax question; employment and employee benefits matters; intellectual property; IT security and privacy issue; and other matters.4. Develop, write, and present presentations, reports, memos, and other content that describes strategic transactions and related legal, regulatory, and diligence issues in clear terms; explains the rationale for particular transactions and deals; and provides actionable advice and recommendations for decision-makers.5. Engage and supervise outside counsel in accordance with UNC Health's policies and practices.6. Work with UNC Health Legal Department teammates, the Corporate Development team, and other professionals across the organization to plan and execute integrations.7. Build strong and respectful relationships with stakeholders and department colleagues to promote collaboration across UNC Health and with consultants and advisors to achieve goals and outcomes established by UNC Health.8. Serve as a key member of the Corporate Development team.Operational: Works with the CLO to set the legal strategy, plan, and provide legal and regulatory affairs needs for areas assigned. Creates development plans for personnel supervised as part of assigned functions. Helps develop, implement, and track key legal performance metrics for the legal organization in areas assigned. Works with the CLO to identify gaps in skills, expertise, and needs. Works with the leadership team in the Legal, Risk Management, and Audit Services Department to identify legal operations technology solutions. Works on a continuous basis to improve the effectiveness of legal services in keeping with business needs. Works with the CLO to develop and implement accurate forecasting and reporting of legal needs, activities, and expenditures.Strategy & Leadership: Works with the CLO to develop and establish the overall philosophy and strategy of the organization regarding legal and risk management and implement that approach in the areas assigned. Partners with other counsel, leaders, and others to ensure that all practices, policies, and business activities of the areas assigned are in compliance with applicable legal requirements. Makes well-informed, timely legal decisions, even when data are limited. Must function well with ambiguity, assessing situations and analyzing options despite uncertain circumstances. Supports business development and strategic partnerships to support UNC Health's mission. Builds strong relationships with teammates and others outside the organization, including outside counsel. Develops strategies to address changes in regulatory requirements and public policy as it pertains to the areas assigned. Works with the CLO to develop the organizational risk profile and support a strong compliance framework. Empowers the other members of the legal team to serve as trusted business advisors. Communicates with operational system leadership in a way that provides information, legal analysis, good judgment, and strategic guidance.Guardian: Guards institutional/organizational integrity. Gains and maintains confidence and trust of System leaders. Supports and models teamwork, collegiality, and professionalism within the Legal, Risk Management, and Audit Services Department and the System. Understands business and compliance risk. Identifies and helps mitigate risk across operations. Manages leadership and governance approaches to addressing regulatory and legal issues.Other InformationEducation Requirements: Bachelor's and Juris Doctor degree required.Licensure/Certification Requirements: Must be licensed to practice law in North Carolina at the time of employment, or be able to become licensed no later than one (1) year after becoming employed by UNC Health.Professional Experience Requirements: Requires twelve (12) years of progressively responsible experience in the legal and healthcare field, with ten (10) years of experience as lead counsel on significant M&A and other transactional matters. In-house experience advising corporate development leaders strongly preferred.Knowledge/Skills/and Abilities Requirements: Clear and honest communication with leaders, requiring confidence, substantive knowledge, and poise. Strong analytical abilities, intelligence, and intellect. Ability to think creatively about solutions requiring multiple levels of analysis and understanding. Ability to provide solid, well-informed, and well-reasoned legal analysis and advice, appropriate to the circumstances and taking business context into account. Ability to convey complex topics in understandable and accessible way, maintaining high-level focus and enabling clear communication between business and legal teams. Ability to identify connections among disparate concepts and substantive areas to strategically solve problems and address issues.
